Submission Agreement

1. Summary

This Submission Agreement is between you (the "Submitter") and Granite Ridge Realty ("we" or "us") and applies whenever you submit a business listing to the Flathead Valley Directory. Submitting a listing means accepting this Agreement along with our Terms of Service, Privacy Policy, and Listing Guidelines.

2. Authorization to Submit

You represent and warrant that you are an authorized representative of the business being submitted, with full authority to bind the business to this Agreement, the Terms of Service, the Privacy Policy, and the Listing Guidelines.

3. Content License

You grant Granite Ridge Realty a worldwide, royalty-free, non-exclusive, sublicensable license to host, display, format, distribute, reproduce, and create excerpts of your submitted content for the purpose of operating, marketing, and promoting the Service. This license includes the right to:

• Display your business name, descriptions, photos, and contact information on directory pages.
• Include your listing in directory pages indexed by search engines and AI search systems.
• Reference your listing in promotional materials and social media about the directory.
• Format, crop, or compress images for display, accessibility, and performance reasons.

The license continues for as long as the content remains in the Service or in our backups. Deleting your account and listings ends new uses of the content; previously published copies in third-party caches and search engine indices are outside our control.

4. Accuracy Warranty

You warrant that the information you submit is accurate, complete, and not misleading at the time of submission. You agree to update or correct information that becomes inaccurate or out of date.

5. Image and Content Ownership

You warrant that you own or have valid permission to use every image, logo, and piece of content you submit, including for the licenses granted in Section 3. If you license content from a stock photo provider or third party, you are responsible for ensuring the license covers the uses described in this Agreement. We may remove any content without notice if a copyright dispute arises. See our DMCA Notice and Takedown Process for how copyright concerns are handled.

6. Editorial and Publication Rights

Granite Ridge Realty has sole discretion over publication, ordering, formatting, and removal of listings. We may:

• Approve, reject, edit, or unpublish your listing for any reason consistent with our Listing Guidelines.
• Edit submitted text for clarity, grammar, formatting, length, or compliance.
• Reorder, archive, or restructure category and city pages.
• Decline to display content that conflicts with our Listing Guidelines, our Terms of Service, or applicable law.

We do not pre-approve every edit before publication. We make reasonable efforts to preserve the substance of your listing during editing.

7. Disclaimer of Endorsement

You acknowledge that inclusion in the directory is not an endorsement, recommendation, guarantee, referral, or verification by Granite Ridge Realty. You will not represent your inclusion as such in your own marketing.

8. Indemnification

You agree to defend, indemnify, and hold harmless Granite Ridge Realty and its owners, agents, and employees from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising from:

• Content you submit to the Service.
• Misrepresentation of authorization, accuracy, or ownership.
• Your violation of any law in connection with your listing.
• Your violation of any third party's rights in connection with your listing.

9. Removal and Termination

You may unpublish or delete your listing at any time from the account dashboard. We may suspend or remove your listing at any time for any reason consistent with our Terms of Service and Listing Guidelines.

10. Governing Law

This Agreement is governed by the laws of the State of Montana, without regard to conflict-of-laws principles. Disputes will be brought exclusively in the state or federal courts located in Flathead County, Montana.
